Article I. Purpose

This boosters club is organized exclusively for purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code of 1986 (as amended). The purpose of the organization is to provide educational support and opportunities for the students enrolled in the school’s chorus programs, including (a) assisting in the organization and development of the chorus activities; (b) supporting participation in musical choral clinics, concert festivals, and any other special events which may be part of the School’s District’s activities; (c) assisting in the organization and development of the chorus activities during the school year; (d) promoting and publishing pertinent news about the chorus programs and chorus students; and (e) encouraging active performance in community activities that would instill civic pride; and (ii) to do all things incident to or necessary for providing the qualified instructors, facilities, materials, and resources for such educational and training opportunities. 

Article II. Membership 

Membership. There shall be only one class of membership, a general membership. Any WMMS chorus parent or relative with a child currently enrolled in chorus may become a voting member and may become an officer. 

Dues. There are no fees or dues to become a member of the WMMS Chorus Boosters. 

Contributions. From time to time, this booster club may accept gifts and donations to be used for the purposes of the corporation stated in these Bylaws. A gift restricted by a donor to a particular use shall be accepted by the organization only upon approval by the Director. The booster club may solicit gifts and donations and may conduct fundraising. 

Termination of Membership. Members may resign at any time. 

Article III. General Membership Meetings 

A. Meetings of the General Membership. General Membership meetings will be held once a year at the start of the school year and then as needed.

B. Spring General Membership Meeting. The Spring General Membership Meeting shall be held for the purpose of electing and installing new officers of the organization.

C. Special emergency meetings may be called if deemed necessary by the President or any four members of the Board. Meeting times and places will be announced prior to the proposed meetings. 

D. Quorum. Members at any General Membership Meeting shall constitute a quorum at such meeting, provided that at least two officers (one who must be the President or Vice President) are present. 

Article IV. Officers 

A. Officers. The Officers (herein referred to as the board) of the organization shall be President, a Vice President, a Secretary, and a Treasurer. Any office may be shared by two persons. 

B. General Powers. The affairs of the organization shall be managed by the officers with the advice and approval of the chorus. 

C. Chorus Directors. Whether one or more, shall be ex-officio members of the board, and shall serve in an advisory capacity, consulting with and advising the board to ensure that the corporation’s activities follow school district guidelines. The Chorus Directors shall exercise voting privileges only in the event of a tie among the board.

D. Eligibility. All members in good standing will be eligible for office. 

E. Vacancies. A vacancy in any office may be filled by the board for the unexpired portion of the term. 

F. Powers and Duties: 

i. The principle duties of the President shall be to preside at all meetings of the General Membership, to arrange for the meeting times and places of the General Membership, to arrange and preside over meetings of the board, to act as an ex-officio member of each committee, to act as a liaison to the administration and between the chorus director and the General Membership, and general to supervise the affairs of the organization. 

ii. The principle duties of the Vice President shall be to discharge the duties of the President in the event of an absence. Additional powers of the Vice President shall be decided at the discretion of the President. The Vice President position will serve as the President elect position for the following school year. 

iii. The principle duties of the Secretary shall be to keep a record of the proceedings of the General Membership and of the board meetings. They shall also keep copies of all such documents for the files of the organization.

iv. The principle duties of the Treasurer shall be to keep an accurate record of all funds, securities, receipts, and disbursements of the boosters, and shall deposit, or cause to be deposited, in the name of the boosters, all monies or other valuable effects in such banks, trust companies, or other depositories as shall, from time to time, be selected by the board. 

G. Compensation. No officer shall receive any salary or other compensation for his/her services as such; provided. 

H. Removal. Any officer of the corporation may be removed at any time, with or without cause, by a vote of two-thirds (⅔) of the entire board at any General Meeting or at any special Meeting called for the purpose. 

Article V. Deposits, Checks, and Funds 

A. Checks, Drafts, and Orders for the payment of money, notes, or other evidence of indebtedness issued in the name of the organization shall be signed by two officers, or by one officer and the Chorus Director. 

B. All Deposits shall be deposited in a timely fashion to credit the organization in such banks: First Citizens Bank. 

Article VI. Amendments of Bylaws 

These bylaws may be altered, amended, or repealed and new laws may be adopted by the majority of the board present at any General or special Meeting.
